Alderon Medical terms of use: acceptance of these Terms

These Terms of Use (“Terms”) apply to your access to and use of the public-facing websites, webpages, content, and related online features operated by or on behalf of SMPA Medical One, LLC, doing business as Alderon Medical (“Alderon,” “we,” “us,” or “our”).

By accessing or using the website, you acknowledge that you have read and agree to these Terms to the extent permitted by applicable law. If you do not agree with these Terms, you should not use the website.

Additional terms, policies, consents, notices, and agreements may apply to particular services or to your relationship with Alderon as a patient. If a separate patient-facing agreement conflicts with these website Terms concerning clinical services, the more specific patient agreement controls for those services.

About Alderon Medical

“Alderon Medical” is the patient-facing trade name used by SMPA Medical One, LLC. References to Alderon Medical throughout this website refer to the applicable services and operations of SMPA Medical One, LLC using the Alderon Medical name.

When clinical services are operational, availability may depend on patient location, clinician licensure, professional scope, clinical appropriateness, payer participation, and other legal or operational requirements.

Website Content Is Not Individual Medical Advice

Information published on this website is provided for general educational, informational, and practice-description purposes. It is not intended to provide individualized diagnosis, treatment, medical advice, or a substitute for evaluation by a qualified healthcare professional who understands your individual circumstances.

Medical information changes over time, and general information cannot account for every patient’s history, medications, symptoms, examination findings, test results, preferences, or risk factors.

Do not delay or disregard appropriate professional medical evaluation because of information you read on this website.

Website Use Does Not Establish a Patient Relationship

Viewing this website, reading website content, submitting a general inquiry, joining an interest list, or sending an administrative message does not by itself establish a clinician-patient relationship with Alderon or any Alderon clinician.

A clinical relationship is established only through the applicable onboarding, eligibility, consent, clinical, and professional processes required by Alderon and applicable law. Alderon plans to use Elation’s secure patient-facing systems for clinical onboarding when enrollment opens.

Public website, patient-interest, and professional-interest forms are not clinical intake. They are part of Alderon’s nonclinical WordPress/Azure lead workflow. Do not use them to submit symptoms, diagnoses, medication information, records, insurance identifiers, treatment requests, or individualized medical questions.

Emergencies and Urgent Safety Concerns

The public Alderon website, general contact forms, administrative email, and routine patient communication channels are not emergency response systems.

If you believe you are experiencing a medical emergency or another condition requiring immediate evaluation, use the appropriate emergency service available in your location rather than waiting for a response from Alderon.

Clinical circumstances may also require urgent, emergency, in-person, or higher-level evaluation even when a patient initially seeks care through telehealth.

Telehealth Services

Alderon is being developed as a telehealth-first primary care practice for adults age 18 and older. Telehealth is a method of delivering healthcare; it is not appropriate for every patient, symptom, diagnosis, or clinical situation.

Once services are live, telehealth care will be subject to separate clinical policies, informed consent requirements, patient identification procedures, applicable licensing rules, prescribing requirements, and other federal and state requirements.

An Alderon clinician may determine that laboratory testing, imaging, an in-person examination, specialist evaluation, urgent care, emergency care, or another service is necessary before or instead of continuing through telehealth.

Eligibility and Service Availability

Access to the website does not guarantee eligibility to receive clinical services from Alderon.

Alderon’s current clinical model is intended for adults age 18 and older. Patient eligibility and service availability may also depend on factors including:

• the patient’s physical location at the time of care;
• clinician licensure and applicable scope requirements;
• the patient’s clinical needs;
• whether telehealth is appropriate for the requested care;
• age or consent requirements;
• availability of necessary local resources;
• insurance or payment arrangements where applicable; and
• other federal, state, professional, or operational requirements.

Alderon may decline, defer, or redirect a request for care when another setting, clinician, service, or level of care is more appropriate.

Electronic and Website Communications

When you voluntarily provide contact information through a public website feature, you authorize Alderon to use that information to respond to the inquiry, manage pre-launch interest, provide access or partnership information, maintain appropriate attribution, or complete the requested administrative interaction, subject to applicable law and Alderon’s privacy practices.

Electronic communications can experience delays, transmission errors, technical failures, or delivery problems. Do not rely on a general website message when timely medical action is necessary.

Do not submit sensitive medical information through public website, patient-interest, professional-interest, or other NoPHI forms.

Unless a feature is specifically identified by Alderon as a secure patient-care communication channel, do not submit symptoms, diagnoses, medication lists, test results, medical photographs, medical records, government identification numbers, insurance identifiers, or other sensitive health information. When clinical services are live, Alderon plans to use Elation’s secure patient-facing systems for clinical onboarding and patient communication.

Privacy and Health Information

Alderon’s Privacy Policy describes how information associated with the public website and its nonclinical Azure patient-interest and professional-interest workflows may be collected, used, or otherwise handled.

Where the Health Insurance Portability and Accountability Act (“HIPAA”) or other healthcare privacy laws apply to protected health information, those obligations are addressed separately through Alderon’s healthcare privacy practices and Notice of Privacy Practices .

These Terms do not waive or limit any privacy right that cannot lawfully be waived or limited.

Acceptable Use of the Website

You may use the website for lawful personal, informational, administrative, and other purposes consistent with its intended function.

You agree not to:

• use the website for unlawful, fraudulent, abusive, or deceptive purposes;
• interfere with or attempt to disrupt website operation, security, networks, or connected systems;
• attempt unauthorized access to accounts, systems, data, or restricted areas;
• introduce malware, malicious code, automated attacks, or harmful software;
• impersonate another person or misrepresent your authority or identity;
• use automated methods to scrape, harvest, extract, or reproduce website content in a manner that violates applicable law or Alderon’s rights;
• attempt to circumvent access controls or security measures;
• use website communication tools to threaten, harass, abuse, or unlawfully target others; or
• use the public website as a substitute for emergency or clinically appropriate healthcare communication.

Alderon may restrict website access when reasonably necessary to protect users, systems, information, legal rights, or website integrity.

Intellectual Property

Unless otherwise indicated, website text, branding, graphics, design elements, logos, page layouts, original illustrations, and other proprietary content are owned by SMPA Medical One, LLC, used under license, or otherwise protected by applicable intellectual-property law.

You may view and use the website for your personal and lawful informational purposes. No ownership interest is transferred to you by accessing the website.

You may not reproduce, modify, commercially exploit, falsely attribute, distribute, or create unauthorized derivative works from protected Alderon content except as permitted by law or with appropriate written authorization.

A link or integration does not necessarily mean Alderon owns, controls, or endorses every aspect of the third party’s website, content, privacy practices, availability, or independent services.

Third-party services may be governed by their own terms and privacy notices.

Where Alderon uses a third party to perform functions on its behalf, applicable contractual, privacy, security, and healthcare requirements may also apply.

Website Information and Availability

Alderon makes reasonable efforts to provide useful and accurate information, but website content may become outdated, incomplete, unavailable, or subject to change.

Before and after launch, practice availability, clinicians, services, insurance participation, membership options, technology, fees, policies, and operational processes may change without every webpage being updated simultaneously.

When clinical enrollment opens, information provided directly through secure patient onboarding, scheduling, financial disclosures, clinical communication, or signed agreements may supersede general website descriptions when those materials address the same subject more specifically.

Alderon does not guarantee uninterrupted, error-free, or continuously available access to the public website.

Website Disclaimers

To the maximum extent permitted by applicable law, the public website and its general informational content are provided on an “as available” basis without a guarantee that every feature, link, document, third-party integration, or piece of information will always be available, current, complete, or free from error.

Nothing in this section disclaims professional duties, patient rights, healthcare obligations, warranties, remedies, or other responsibilities that cannot lawfully be disclaimed.

Limitation of Liability for Website Use

To the maximum extent permitted by applicable law, Alderon and its owners, workforce members, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or similar damages arising solely from use of, inability to access, or reliance on the public website or general website content.

This limitation is not intended to limit liability for professional healthcare services, statutory rights, privacy obligations, willful misconduct, or any other liability that cannot legally be excluded or limited.

Clinical care is different from website use. The rights and responsibilities associated with actual healthcare services are governed by applicable law and the specific clinical and patient-facing agreements relevant to that care.

Changes to the Alderon Medical terms of use

Alderon may modify, suspend, discontinue, or update website content, functions, links, and public-facing services as the practice evolves.

These Terms may also be revised periodically. When they are updated, the “Last updated” date on this page will be changed.

Material changes may also be communicated in another manner when required by law or when Alderon determines additional notice is appropriate.

Continued use of the website after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by applicable law.

General Legal Terms

Applicable law

Your use of the website remains subject to applicable federal, state, and local law. Nothing in these Terms is intended to eliminate rights or protections that cannot legally be waived.

Severability

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

No waiver

Alderon’s failure to enforce a provision on one occasion does not necessarily waive its right to enforce that provision later.

Relationship to other agreements

These Terms govern the public website. More specific agreements, consents, notices, financial policies, clinical policies, or other patient-facing documents may separately govern healthcare services and related transactions.
